These Terms of Use govern your access to and use of this website, operated by Oceanus Capital Management, LLC (“Oceanus”, “we”). By using the site you agree to them and to our Privacy Disclosures and Cookie Notice, which is incorporated by reference. If you do not agree, do not use the site. Where you have a separate written agreement with Oceanus, that agreement prevails over these terms in the event of a conflict.

We may change these terms, and any content on the site, at any time without notice. The date at the top shows when the terms were last revised; your continued use after a change is acceptance of the revised terms.

You may view the site and print or download one copy of its pages for your personal, non-commercial reference, provided you keep all copyright and other notices intact. You may not otherwise reproduce, modify, distribute, republish, frame, or create derivative works from the site; use automated tools to scrape, crawl, or mine it; interfere with its operation or security; or use it for any unlawful purpose. Oceanus may suspend or terminate your access at any time.
Unsolicited submissions and confidential information
Do not send Oceanus confidential information, or material non-public information about any publicly traded company, unless we have asked for it in writing. Any unsolicited ideas, suggestions, or materials you send will be treated as non-confidential and non-proprietary, and Oceanus may use them without obligation to you.
Electronic communications
E-mail and other electronic communications are not secure and may be intercepted, delayed, or lost. Do not send account numbers, identification documents, or other sensitive information by unencrypted e-mail. Oceanus is not responsible for communications that fail to reach us.

Disclaimer of warranties
The site and its content are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Content may be out of date, and Oceanus is under no obligation to update it.
Limitation of liability
To the fullest extent permitted by law, Oceanus and its members, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of, or inability to use, the site, whether based on contract, tort, negligence, or any other theory, even if advised of the possibility of such damages. Oceanus’s aggregate liability for all claims relating to the site will not exceed one hundred U.S. dollars (US$100). Indemnification
You agree to indemnify and hold harmless Oceanus and its members, officers, employees, and agents from any claims, losses, and expenses, including reasonable legal fees, arising from your use of the site or your breach of these terms.
Monitoring
Oceanus may monitor use of the site and keep server logs as described in the Privacy Disclosures. Oceanus has no obligation to monitor and assumes no liability for doing or not doing so.
Governing law and disputes
These terms are governed by the laws of the State of New Jersey and the federal laws of the United States, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in the State of New Jersey for any dispute relating to the site or these terms.
Language
The Chinese-language editions of this site are convenience translations. These terms and the English edition of the site govern in the event of any inconsistency.
General
If any provision of these terms is held unenforceable, the remaining provisions remain in effect. Oceanus’s failure to enforce a provision is not a waiver of it. These terms, the Privacy Disclosures and Cookie Notice, and the Regulatory Disclosures are the entire agreement between you and Oceanus regarding the site.
